Lithuania is the largest state in the Baltic region and its geographical position allows for excellent trade links between Eastern Europe, Scandinavia and Russia. This makes it a very attractive country for foreign investors, particularly when establishing a branch in order to increase company exposure and global presence. Branches are legally regulated by The Civil Code of the Republic of Lithuania.
The branch must register with the Tax Office for taxation purposes. Forms required in order to obtain a VAT number differ depending on whether the parent company is an EU or non EU national.
VAT returns should be filed monthly and tax returns annually.
The accounts of the branch should be kept in accordance with the requirements of the parent company, if an EU national. If the parent company is not an EU national other regulations apply.
– A copy of the parent company’s Certificate of Incorporation
– A copy of Memorandum & Articles of Association of the parent company
– A copy of the parent company’s Certificate of Good Standing
– A Lithuanian representative of the branch
– Resolution from the parent company detailing its decision to set up the branch
The documents above are required by the Register of Legal Persons section of the State Enterprise Centre of Registers, in order for branch registration.
All documentation must be notarised, apostilled and translated into Lithuanian by a certified translator.
