Open a Branch in the Netherlands

Introduction to setting up a branch in the Netherlands

The Netherlands offers various financial incentives to foreign investors, encouraging foreign business to the already advantageous Dutch economy. A part of this is the Netherlands Foreign Investment Agency, a division of the Agency for International Business and Cooperation that provides help for foreign businesses investing in the Netherlands.

What are the accounting requirements for a Dutch Branch?

The branch company must register with the Dutch Tax Authorities to obtain a VAT number and for taxation purposes.

The accounting requirements for the Dutch branch mirror those for the parent company in its domicile country. Consequently, if the parent company in its home country is required to file annual tax accounts, the Dutch branch must file the same accounts to the Chamber of Commerce with which it is registered. The accounts for the Dutch branch must be drawn up in Dutch, English, French or German.

What are the formalities regarding Dutch branches?

– A copy of the parent company’s Certificate of Incorporation
– A copy of Memorandum & Articles of Association of the parent company
– A copy of the parent company’s Certificate of Good Standing
– All registered directors and proxy holders of the parent company in its domicile country must also be registered in the Netherlands
– Directors and proxy holders of the parent company must provide a passport copy and proof of their private address – i.e. a current and original statement or invoice from the bank or a utility company

There is no requirement for any share capital for Dutch branches.

The documents detailed above are required by the Dutch Chamber of Commerce trade register in order for branch registration.

All required documentation must be officially apostilled and translated into Dutch or English by a certified translator.

What office facilities are available when registering a branch?

There are two main types of office available in the Netherlands:

– Virtual offices maintain the business professionalism of a physical office with off-site communication services, including telephone, fax and mail forwarding facilities
– Serviced offices accommodate all necessary business services and can be occupied immediately
